Role Overview:
We are hiring for one of our clients, seeking a Corporate Attorney to provide legal counsel on corporate governance, compliance, and transactional matters. The role involves advising on corporate structure, regulatory filings, and contract negotiations for a growing technology platform.
Key Responsibilities:
Draft, review, and negotiate commercial contracts, including service agreements, partnership agreements, and vendor contracts.Advise on corporate governance matters, including board and shareholder meetings, compliance with state and federal regulations, and corporate policies.Ensure compliance with applicable laws, regulations, and internal policies, including data privacy and security requirements.Manage corporate filings and maintain corporate records, including minute books, stock ledgers, and corporate certificates.Provide legal support for mergers, acquisitions, and other corporate transactions as needed.
Required Skills & Qualifications:
Juris Doctor (JD) degree from an accredited law school and active membership in a state bar association.Minimum of 5 years of experience in corporate law, with a focus on transactional and compliance matters.Strong understanding of corporate governance, compliance, and regulatory requirements.Experience drafting and negotiating complex commercial contracts and agreements.Ability to work independently in a remote environment with minimal supervision.
